Terms of Service

1. Introduction

These Terms of Service (the “Terms”) govern your access to and use of the website nienumberspain.com and the services provided through it (the “Services”). By accessing or using the Website or any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or the Services.

2. Service Provider

The Website and the Services are owned and operated by Happy Residence S.L., a company incorporated in Spain, with its registered address at C. Vasco Núñez de Balboa, 3, 29680 Estepona, Málaga, Spain (hereinafter the “Service Provider”).

The Service Provider operates the online platform available at nienumberspain.com (the “Platform”).

3. Definitions

For the purposes of these Terms:

  • Platform” means the website and online services available at nienumberspain.com, operated by the Service Provider.

  • Service Provider” means Happy Residence S.L., a company incorporated in Spain, with its registered address at C. Vasco Núñez de Balboa, 3, 29680 Estepona, Málaga, Spain.

  • User”, “you” or “your” means any person or entity that accesses or uses the Platform or the Services, whether as a visitor or as a paying client.

  • Services” means the assistance, support and related services provided via the Platform, including but not limited to support with applications for Spanish identification numbers (such as NIE or tax numbers), coordination with third‑party professionals, document preparation support and other related services described on the Platform from time to time.

  • Agreement” means the contract formed between you and the Service Provider when you accept these Terms and start using the Services.

4. Eligibility and user obligations

4.1. By using the Platform, you represent and warrant that:

  • you are at least 18 years old or have full legal capacity to enter into binding agreements under the laws applicable to you;

  • you will use the Platform and Services only for lawful purposes;

  • all information you provide to the Service Provider is true, accurate, complete and up to date.

4.2. You agree to:

  • comply with these Terms and all applicable laws and regulations;

  • not use the Platform for any fraudulent, abusive or illegal activity;

  • not interfere with the security or proper functioning of the Platform;

  • promptly update your information if it changes.

5.1. The Services offered via the Platform are administrative and coordination services aimed at helping you understand and manage certain procedures in Spain (for example, obtaining an identification number or similar registrations). The Service Provider does not provide legal, tax, investment or immigration advice.

5.2. Any information provided on the Platform or by the Service Provider is for general information purposes only and does not constitute professional legal advice or a substitute for consulting a qualified lawyer or advisor in Spain or elsewhere.

5.3. The Service Provider may cooperate with or introduce you to third‑party professionals (such as lawyers, tax advisors, or administrative agencies). Unless explicitly stated in a separate written agreement, such professionals act independently and are not employees or agents of the Service Provider, and the Service Provider is not responsible for their advice, services or omissions.

6. Account registration (if applicable)

6.1. To use certain Services, you may be required to create an account on the Platform, provide certain personal data and choose login credentials (such as a password).

6.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out under your account. The Service Provider is not liable for any loss or damage arising from your failure to protect your login information.

6.3. You must notify the Service Provider immediately if you suspect any unauthorized access to or use of your account.

7. Description of Services

7.1. The Platform may offer, without limitation:

  • assistance and coordination services in connection with obtaining Spanish identification numbers or related registrations;

  • collection and transmission of your documents and information to relevant third parties or authorities, where applicable;

  • scheduling of appointments or coordination with third‑party service providers;

  • provision of information about procedures, typical timelines and requirements, as described on the Platform.

7.2. The exact scope, content, price and conditions of each specific Service are described on the relevant pages of the Platform or in the order/booking form you complete.

7.3. The Service Provider does not guarantee any specific outcome, approval or timeframe, as these depend on third parties (such as governmental authorities) and circumstances beyond the Service Provider’s control.

8. Ordering process and conclusion of contract

8.1. By submitting an order, booking form or payment through the Platform, you make an offer to enter into a contract for the selected Services.

8.2. The contract between you and the Service Provider is formed when the Service Provider confirms your order (for example, by sending an order confirmation email) or starts providing the Services, whichever comes first.

8.3. The Service Provider reserves the right to refuse or cancel any order if:

  • the required information is incomplete, inaccurate or not provided in time;

  • the Service cannot reasonably be provided under the circumstances;

  • there is suspicion of fraud, abuse or illegal activity.

In such cases, any payment already made may be refunded in accordance with Section 10 (Fees, payments and refunds).

9. User responsibilities regarding information and documents

9.1. You are solely responsible for the accuracy, completeness and legality of all information and documents you provide to the Service Provider or upload to the Platform.

9.2. You confirm that:

  • you have the right to share such information and documents;

  • all provided information is correct and not misleading;

  • you will promptly supply any additional documents or information requested for the performance of the Services.

9.3. The Service Provider is not responsible for any delays, denials, penalties or other negative consequences resulting from inaccurate, incomplete, false or late information or documents provided by you.

10. Fees, payments and refunds

10.1. The fees for each Service are displayed on the Platform or communicated to you before you place an order. All fees are indicated in the applicable currency and may include or exclude taxes, as specified on the Platform.

10.2. Payment must be made using one of the methods offered on the Platform (for example, bank card, online payment service or other methods supported at the time of purchase).

10.3. The Service Provider may use third‑party payment processors. You may be required to accept the terms and privacy policies of such processors. The Service Provider is not responsible for any errors or issues caused by payment processors, except to the extent required by applicable law.

10.4. Unless explicitly stated otherwise, fees are generally non‑refundable once the Service Provider has started performing the Services, especially where:

  • appointments have been scheduled;

  • documents have been prepared or submitted;

  • third‑party costs or fees have already been incurred.

10.5. In exceptional cases, the Service Provider may, at its sole discretion, offer a partial or full refund or credit, taking into account the stage of performance and costs already incurred.

10.6. Any statutory consumer rights regarding withdrawal and refunds, to the extent applicable under mandatory law, remain unaffected.

11. Cancellation and rescheduling

11.1. If your Service involves an appointment or a specific date (for example, an appointment at a governmental office), your ability to cancel or reschedule may be limited by the policies of the relevant authority or third‑party provider.

11.2. The Service Provider will make reasonable efforts to assist with cancellations or rescheduling but cannot guarantee that this will be possible or that any fees will be refunded.

11.3. No‑shows or late cancellations may result in the loss of the fee paid, without any obligation to refund.

12. Intellectual property

12.1. All content on the Platform, including text, graphics, logos, icons, images, audio clips, video clips, software and design, is owned by or licensed to the Service Provider and is protected by copyright, trademark and other intellectual property laws.

12.2. You are granted a limited, non‑exclusive, non‑transferable, revocable license to access and use the Platform and its content strictly for your personal, non‑commercial use in connection with the Services.

12.3. You may not:

  • copy, modify, distribute, sell, resell, lease, license or create derivative works based on the Platform or any of its content;

  • reverse engineer, decompile or attempt to extract the source code of any software used on the Platform;

  • use any automated tools to access or scrape the Platform without prior written consent.

13. Data protection and privacy

13.1. The Service Provider processes personal data in accordance with applicable data protection laws, including, where applicable, the General Data Protection Regulation (GDPR).

13.2. Details about how personal data is collected, used, stored and protected are set out in the Privacy Policy available on the Platform. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

13.3. You must not provide personal data of third parties to the Service Provider unless you have a lawful basis and permission to do so.

14. Limitation of liability

14.1. To the maximum extent permitted by applicable law, the Service Provider shall not be liable for:

  • any indirect, incidental, special, consequential or punitive damages;

  • loss of profits, revenue, business opportunities, data or goodwill;

  • delays, refusals, penalties or other decisions made by governmental authorities or third parties over which the Service Provider has no control.

14.2. The total aggregate liability of the Service Provider arising out of or in connection with the Agreement and the Services, whether in contract, tort or otherwise, shall be limited to the amount of fees actually paid by you to the Service Provider for the specific Service giving rise to the claim.

14.3. Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is not permitted under mandatory applicable law (for example, liability for fraud or gross negligence).

15. Indemnification

You agree to indemnify and hold harmless the Service Provider, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms;

  • your use of the Platform or the Services;

  • any inaccurate, incomplete or unlawful information or documents you provide.

16. Changes to the Platform and Terms

16.1. The Service Provider may modify, suspend or discontinue any part of the Platform or the Services at any time, with or without prior notice, provided that any Services already paid for will be honored in accordance with the Agreement or refunded where performance is no longer possible.

16.2. The Service Provider may update these Terms from time to time. The latest version will always be published on the Platform with an updated “Last updated” date.

16.3. If you continue to use the Platform or the Services after the updated Terms become effective, you are deemed to have accepted the new version. If you do not agree with the changes, you must stop using the Platform and Services.

17. Governing law and jurisdiction

17.1. Unless mandatory law of your country of residence provides otherwise, these Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Spain.

17.2. The parties agree that the courts of Spain shall have jurisdiction to settle any dispute arising out of or in connection with these Terms or the Services, without prejudice to any mandatory rights you may have as a consumer to bring claims in your country of residence.

18. Miscellaneous

18.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.2. The failure of the Service Provider to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.3. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Service Provider. The Service Provider may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition or sale of assets, provided that such assignment does not reduce your statutory rights as a consumer, where applicable.

18.4. These Terms, together with any order confirmation and the Privacy Policy, constitute the entire agreement between you and the Service Provider regarding the use of the Platform and the Services.
